Welcome to Local Service Lab. These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms.

By accessing our website, scheduling a consultation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Local Service Lab provides website development, local SEO, and marketing automation services specifically for home service businesses. Our services include, but are not limited to:

  • Custom website design and development
  • Search engine optimization (SEO)
  • Google Business Profile optimization
  • Automated review funnel systems
  • Missed call text-back automation
  • Local citation building
  • Content creation and management
  • Analytics and reporting

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Service Agreement and Subscription

Service Engagement

Once you engage our services, we will provide you with a detailed proposal outlining the scope of work, deliverables, timeline, and pricing. Your acceptance of this proposal constitutes a binding agreement.

Monthly Subscriptions

Many of our services are provided on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

No Long-Term Contracts

We do not require long-term contracts. You may cancel your subscription at any time with 30 days' written notice. Cancellation will be effective at the end of your current billing cycle.

5. Pricing and Payment

Fees

All fees for our services will be clearly outlined in your service proposal or subscription agreement. Prices are subject to change with 30 days' notice to existing customers.

Payment Terms

  • Setup fees (if applicable) are due upon signing the service agreement
  • Monthly subscription fees are billed in advance on the 1st of each month
  • Payment is due upon receipt of invoice
  • Late payments may incur a fee of 1.5% per month or the maximum allowed by law
  • We accept major credit cards and ACH bank transfers

Refund Policy

Due to the nature of our services, we generally do not offer refunds for completed work or monthly subscriptions. However, we will work with you to address any concerns about service quality or deliverables.

6. Client Responsibilities

To ensure successful service delivery, you agree to:

  • Provide accurate and complete business information
  • Respond to our requests for information or materials in a timely manner
  • Provide access to necessary accounts (website, Google Business Profile, etc.)
  • Review and approve deliverables within agreed-upon timeframes
  • Pay all invoices on time
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purposes

7. Intellectual Property

Client Content

You retain ownership of all content, trademarks, logos, and materials you provide to us. By providing these materials, you grant us a non-exclusive license to use them solely for the purpose of delivering our services.

Our Work Product

Upon full payment for website development services, you will own the final website design and content. However, we retain ownership of:

  • Pre-existing templates, code libraries, and tools
  • General methodologies and processes
  • Knowledge and experience gained

Portfolio Rights

We reserve the right to display your website and project details in our portfolio, case studies, and marketing materials unless you specifically request otherwise in writing.

8. Website Hosting and Maintenance

If we provide hosting services:

  • We will make reasonable efforts to ensure 99.9% uptime
  • Scheduled maintenance may occasionally require brief downtime
  • We are not responsible for downtime caused by third-party hosting providers
  • Regular backups will be performed, but you are responsible for maintaining your own backups

9. SEO and Marketing Results

No Guaranteed Results: While we use industry best practices and proven strategies, we cannot guarantee specific rankings, traffic volumes, or conversion rates. Search engine algorithms, competition, and market conditions are beyond our control.

We will:

  • Provide regular reports on key performance metrics
  • Make data-driven recommendations for improvement
  • Continuously optimize based on results
  • Be transparent about progress and challenges

10. Third-Party Services

Our services may integrate with or rely on third-party platforms (e.g., Google, hosting providers, email services). We are not responsible for:

  • Third-party service outages or changes
  • Third-party pricing changes or policy updates
  • Data breaches or security issues with third-party services
  • Compatibility issues caused by third-party updates

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • We are not liable for damages caused by your misuse of our services

12. Indemnification

You agree to indemnify and hold harmless Local Service Lab, its owners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or materials you provide to us

13. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the business relationship. This obligation survives the termination of our services.

14. Termination

Termination by Client

You may terminate services at any time with 30 days' written notice. You will be responsible for payment through the end of the notice period.

Termination by Us

We reserve the right to terminate services immediately if you:

  • Fail to pay invoices after 30 days
  • Violate these Terms
  • Engage in abusive or threatening behavior
  • Use our services for illegal purposes

Effect of Termination

Upon termination:

  • You will receive final invoices for any outstanding work
  • We will provide reasonable assistance with transitioning services
  • You will retain ownership of completed work product (upon full payment)
  • Ongoing services (hosting, maintenance) will cease

15. Warranties and Disclaimers

We warrant that we will provide services with reasonable skill and care consistent with industry standards. However:

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Dispute Resolution

Informal Resolution

If you have a concern or dispute, please contact us first. We will make good-faith efforts to resolve the issue amicably.

Arbitration

If we cannot resolve a dispute informally, you agree that disputes will be resolved through binding arbitration rather than in court, except for small claims court matters or injunctive relief.

Governing Law

These Terms are governed by the laws of [Your State/Jurisdiction], without regard to conflict of law principles.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
